1. Agreement and capacity
By accessing or using a Service, creating or using an account, enrolling in a programme, purchasing a Service or otherwise indicating acceptance, the user agrees to be bound by these Terms. Where a learner lacks legal capacity to enter into these Terms independently, the relevant registration, purchase or contractual act must be undertaken by a parent, guardian or other person legally authorised to act for the learner to the extent required by applicable law.
2. Services and supplementary terms
LITALK provides educational and related digital services which may include live tutoring, group learning, self-paced materials, assessments, scheduling, attendance, progress tracking, the Student Portal, LITALK+ features, account services and other digital tools. Features, eligibility, availability, duration and pricing may vary by programme or offer. Programme-specific terms, written confirmations and policies presented at enrolment or purchase form part of the applicable service agreement.
Use of AI Services is additionally governed by the AI Terms of Use and the AI Privacy Notice.
3. Accounts, authentication and security
Users must provide information that is accurate and reasonably current where registration is required, maintain the confidentiality and security of account credentials and authentication sessions, and notify LITALK without undue delay upon becoming aware of suspected unauthorised access. A user must not use another person's account or permit another person to use the user's account except where expressly authorised by LITALK or permitted by applicable law. Certain authentication functions are provided through third-party identity infrastructure, including Auth0, and may also be subject to the relevant provider's terms and privacy documentation.
4. Fees, payment, credits and refunds
Fees, payment schedules, package duration, included credits and programme-specific conditions communicated at purchase or otherwise confirmed by LITALK form part of the applicable agreement. Amounts due must be paid by the stated deadline. Eligibility for a refund, treatment of unused credits, package expiry, payment disputes and any cancellation charge shall be determined by the applicable offer, written confirmation, programme policy and mandatory Thai consumer law. Nothing in these Terms excludes or restricts a right or remedy that cannot lawfully be waived or limited.
5. Scheduling, cancellations and attendance
Users must comply with the cancellation, rescheduling and attendance requirements communicated for the applicable programme. A late cancellation or failure to attend may result in loss of a scheduled lesson or credit where the applicable policy so provides. Where LITALK cancels a lesson for reasons attributable to LITALK, LITALK will ordinarily provide an appropriate replacement, rescheduling option or credit in accordance with the applicable programme terms and mandatory law.
6. Acceptable use
A user must not misuse a Service, attempt unauthorised access, interfere with systems or other users, impersonate another person, use another learner's account or attendance credential, harass or threaten any person, infringe intellectual-property or privacy rights, circumvent technical safeguards, or use a Service for any unlawful, fraudulent or abusive purpose. LITALK may take proportionate measures to prevent, investigate or remedy misuse.
7. Intellectual property
Unless otherwise stated, LITALK or its licensors owns or lawfully controls the curriculum, educational materials, software, graphics, branding and other protected content made available through the Services. Subject to these Terms, LITALK grants the user a limited, personal, non-exclusive, non-transferable and revocable right to use such materials solely for the educational or service purpose for which they are supplied. No protected content may be commercially redistributed, resold, published, materially reproduced or exploited without permission or another lawful basis.
8. Third-party services
The Services may rely upon or integrate services supplied by third parties, including identity, hosting, payment, communications, video-conferencing, productivity and AI providers. Third-party terms and privacy documentation may apply to those services. LITALK remains responsible for obligations imposed upon LITALK by applicable law and nothing in these Terms excludes responsibility that cannot lawfully be excluded.
9. Educational outcomes and service availability
LITALK does not guarantee a particular learning outcome, proficiency level, grade, examination result, admission outcome or other result dependent on factors beyond LITALK's reasonable control. Digital Services may from time to time be unavailable due to maintenance, network conditions, security measures, third-party outages or circumstances beyond reasonable control. This clause does not limit rights or remedies that cannot lawfully be limited.
10. Liability
To the fullest extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental or consequential loss that was not reasonably foreseeable as a consequence of the relevant breach. Any liability cap or specific limitation stated in a separate paid-service agreement applies only to the extent permitted by law. Nothing in these Terms excludes or limits liability, statutory remedies or consumer rights that cannot lawfully be excluded or limited under applicable Thai law.
11. Suspension and termination
LITALK may restrict, suspend or terminate access where reasonably necessary to protect security, prevent or investigate misuse, comply with law or address a material breach of these Terms. Where appropriate and legally permissible, LITALK will provide notice or a reasonable opportunity to remedy the relevant breach. Termination shall not extinguish accrued payment obligations or any provision which by its nature is intended to survive termination.
12. Privacy
Processing of personal data in connection with the Services is governed by the Privacy Policy and, where applicable, the AI Privacy Notice and Cookie & Local Storage Policy.
13. Amendments
LITALK may amend these Terms to reflect changes in the Services, applicable law or regulatory requirements. Where an amendment is material and renewed acceptance or additional notice is required by law or by the design of the relevant Service, LITALK will provide the appropriate notice or acceptance mechanism before the amendment takes effect as required.
14. Governing law and contact
These Terms are governed by the laws of Thailand, subject to any mandatory consumer, jurisdictional or other statutory rights that apply. Questions regarding these Terms may be submitted to support@litalkeducation.com or through LITALK's official support channels.
